Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you, either individually or on behalf of an entity ("Customer", "you"), and YUMO LLC, a limited liability company registered in the State of New Mexico, United States, with its principal place of business at 1209 Mountain Road PL NE, Ste R, Albuquerque, NM 87110 ("YUMO", "we", "us"). By accessing or using the YUMO platform, websites, APIs, or any related services (collectively, the "Services"), you agree to be bound by these Terms.
1. The Services
YUMO provides a software-as-a-service platform for digital operations, including platform integration, cloud asset management, and workflow automation. Specific features available to you depend on the subscription plan you select. We may add, modify, or discontinue features from time to time, provided we do not materially reduce the functionality of a plan you have already paid for during the then-current billing term.
2. Account Registration
To use the Services, you must register an account with accurate, current, and complete information. You are responsible for safeguarding your credentials and for all activity that occurs under your account. You must notify YUMO immediately of any unauthorized access.
3. Acceptable Use
You agree not to, and not to permit any third party to:
- use the Services to violate any applicable law, regulation, or third-party right;
- upload or transmit any unlawful, infringing, defamatory, or malicious content;
- attempt to gain unauthorized access to the Services or any related systems;
- reverse engineer, decompile, or otherwise attempt to derive source code;
- use the Services to send unsolicited communications or conduct phishing;
- resell, sublicense, or otherwise commercially exploit the Services without our prior written consent.
4. Fees, Billing, and Taxes
Subscription fees are set out on our pricing page and are billed in advance on a monthly or annual basis, depending on the plan you select. Usage-based overage charges are billed in arrears. All fees are stated in U.S. dollars and are exclusive of any applicable taxes, which you are responsible for paying. Failure to pay outstanding amounts may result in suspension of the Services after notice.
5. Cancellation and Refunds
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your then-current billing period. New subscriptions are covered by our 14-day money-back guarantee as described in our Refund and Cancellation Policy.
6. Intellectual Property
YUMO and its licensors retain all right, title, and interest in and to the Services, including all software, designs, trademarks, documentation, and any improvements thereto. You retain all right, title, and interest in and to the data you submit to the Services ("Customer Data"). You grant YUMO a limited, non-exclusive license to host, process, and display Customer Data solely to the extent necessary to provide the Services to you.
7. Confidentiality
Each party agrees to use the other's confidential information solely to exercise its rights and perform its obligations under these Terms, and to protect such confidential information with at least the same degree of care it uses to protect its own confidential information of like kind (and in no event less than reasonable care).
8. Service Levels and Support
YUMO will use commercially reasonable efforts to maintain availability of the Services. Specific uptime commitments and support response times are determined by your subscription plan.
9. Warranty Disclaimer
Except as expressly set forth in these Terms, the Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
10. Limitation of Liability
To the maximum extent permitted by law, neither party shall be liable for any indirect, incidental, special, consequential, or punitive damages. Each party's aggregate liability arising out of or related to these Terms shall not exceed the fees paid or payable by Customer to YUMO in the twelve (12) months preceding the event giving rise to the claim.
11. Indemnification
Each party will defend, indemnify, and hold the other harmless from and against third-party claims arising out of (a) breach of these Terms, (b) violation of applicable law, or (c) infringement of intellectual property rights, subject to the limitations herein.
12. Term and Termination
These Terms remain in effect for so long as you use the Services. Either party may terminate for material breach that remains uncured for thirty (30) days after written notice. Upon termination, your right to access the Services ceases, and YUMO will make Customer Data available for export for a period of thirty (30) days.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of New Mexico, United States, without regard to its conflict of laws principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Bernalillo County, New Mexico.
14. Modifications
We may update these Terms from time to time. If we make material changes, we will provide at least thirty (30) days' notice via email or in-product notification. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
